Terms of Service
The agreement between E-Tally and the business using it. Written in plain English; nothing here replaces advice from your own lawyer.
Last updated: 17 September 2026
First production draft, pending review by UAE-qualified counsel. Highlighted passages are not settled and must not be relied on.
1. Acceptance of these terms
These terms apply when you create an E-Tally workspace or use one. Creating a workspace means accepting them on behalf of the business you represent. [TO CONFIRM: acceptance is currently evidenced only by the account having been created. There is no acceptance checkbox and no stored record of which version was accepted, when, or by whom. Counsel should advise whether that suffices, and the product should record it.]
If you do not accept these terms, do not create a workspace and do not use E-Tally.
2. Definitions
- "E-Tally", "we", "us": the service described here, operated by Iuvora, a business based in India that is currently completing its registration and licensing. [TO CONFIRM: the contracting entity, its registration details and its authorised signatory, before any enterprise contract is signed.]
- "Customer", "you": the business that creates a workspace.
- "Workspace": the private E-Tally environment created for your business, reachable at your own address in the form your-workspace.etally.ai.
- "Workspace owner": the person whose email address created the workspace and who administers it.
- "Team member": a person invited into your workspace by the workspace owner.
- "Customer data": everything you and your team enter into or generate in your workspace, including contacts, products, invoices, and accounting records.
- "Service": the E-Tally website, the signup and login flow, and your workspace.
3. What E-Tally provides
E-Tally is business billing and accounting software delivered over the internet. Each customer receives a separate workspace with its own database, reached at its own web address and secured with HTTPS.
A workspace is set up for UAE business use: the United Arab Emirates as the company country, AED as the company currency, and 5% VAT configured as the default tax. You can change these settings yourself inside your workspace.
E-Tally is proprietary hosted software. It is built on the Odoo platform, which we host and operate ourselves; using E-Tally creates no relationship between you and the publishers of that platform, and gives you no rights in the software itself.
4. Creating an account
E-Tally is intended for businesses. Creating a workspace means confirming that you act for a business and are authorised to accept these terms on its behalf. [TO CONFIRM: whether individuals and sole traders may register, and what follows for consumer-protection and language requirements. That needs UAE-qualified counsel; nothing is asserted here.]
To create a workspace you provide a company name and an email address. We send a confirmation link to that address; nothing is created until you confirm it. You then provide your country and, optionally, your tax registration number and business address, which we use to configure your workspace.
You are responsible for the accuracy of the information you give us, and for keeping your contact email address current. Sign-in links and service notices are sent to it.
Workspace addresses are allocated from your company name. Certain names are reserved and cannot be used.
5. Your workspace and your team
The workspace owner may invite team members and assign each one a role. Roles limit what a person can do: a team member cannot reach accounting configuration or workspace settings, and cannot give themselves or anyone else additional access.
You are responsible for who you invite, for the role you give them, and for removing people who should no longer have access. Everything done in your workspace by someone you invited is treated as done by you.
6. Acceptable use
You agree not to:
- use the service for anything unlawful, or to store unlawful content
- attempt to access another customer's workspace or data
- probe, scan or test the security of the service, or interfere with its operation
- attempt to bypass the limits on your account, including access roles and rate limits
- resell or provide the service to a third party as if it were your own, unless we have agreed that in writing
- upload malicious software, or use the service to send unsolicited bulk email
If you become aware of a security problem in E-Tally, please report it to anas.shareef@outlook.com rather than exploiting it.
7. Your data is yours
You own your customer data. We do not claim ownership of it, we do not sell it, and we do not use it to advertise to you or anyone else.
We process customer data to operate the service for you, and where you ask us to help with a problem. Our data processing terms describe this in more detail.
You are responsible for the content of your customer data: that you are entitled to hold it, that it is lawful, and that it is accurate. E-Tally stores accounting records but does not check them, and nothing in the service is tax, accounting or legal advice.
8. Credentials and security
We secure the service as described in our privacy policy. You are responsible for your side: keeping passwords confidential, not sharing accounts between people, and treating sign-in links in your email as credentials.
Sign-in links we email work once and expire. If you believe someone has gained access to your workspace, change the password and contact us immediately.
9. Availability and changes to the service
We aim to keep E-Tally available and to keep improving it. There is no service level agreement, no uptime guarantee, and no credit or other remedy for interruption. [TO CONFIRM: whether any service level commitment will be offered if commercial terms are introduced.]
Maintenance, updates and the creation of new workspaces can cause brief interruptions. We may change or discontinue features. Where a change materially reduces the service you rely on, we will give you reasonable notice at your registered email address.
10. Third-party services
We rely on a small number of providers to run the service, including cloud hosting and an email delivery provider. They are listed in our privacy policy and our data processing terms.
If you connect your workspace to any other service yourself, that connection is between you and that provider, and these terms do not cover it.
11. Intellectual property
The E-Tally service, its software, design and brand remain ours or our licensors'. These terms give you the right to use the service, not ownership of it. You may not copy, decompile or resell the software behind it.
Feedback you send us may be used to improve the service without obligation to you.
12. Support and maintenance
Support is provided on a best-effort basis by email at anas.shareef@outlook.com. We do not commit to any response or resolution time, and no support hours are guaranteed.
We apply security updates and maintain the platform as part of operating the service.
13. Free evaluation pilot
E-Tally is currently made available as a free evaluation pilot. Access is provided at no monetary charge for evaluation purposes. The service charges no fees, collects no payment details, and has no billing function.
Because nothing is charged, there is no refund policy. Free access during the pilot is not a promise of continued free access.
If commercial terms are introduced later, they would be communicated in advance and would not apply retrospectively to your use during the pilot. No pricing has been decided.
Access to the hosted service grants no licence to, and no ownership of, the underlying software. E-Tally is proprietary hosted software, not open-source software, and no source code is distributed with it.
14. Suspension and termination
You may stop using E-Tally at any time and ask us to close your workspace.
We may suspend a workspace where it is necessary to protect the service or other customers, where the acceptable use section is breached, or where we are required to by law. A suspended workspace stops being reachable at its web address; its data is not deleted by suspension itself.
Where circumstances allow, we will tell you before suspending and give you the opportunity to put things right. [TO CONFIRM: notice periods for suspension and termination, and any termination-for-convenience right on either side.]
15. What happens to your data afterwards
Before your workspace is closed, you can export your data from within it using the export features of the application.
When a workspace is deleted, its database and stored files are removed from the live system. Copies may remain in operational backups until those are replaced or removed. [TO CONFIRM: how long you have to export after termination, how long backups are kept, and when every copy is destroyed. Backups are taken by operator tooling rather than on an enforced schedule, so no period is promised here.]
16. Disclaimers
The service is provided as it is and as available. To the extent the law allows, we exclude implied warranties, including fitness for a particular purpose.
E-Tally helps you keep records. It does not provide tax, accounting, or legal advice, and it does not file anything with any authority on your behalf. You remain responsible for your own compliance obligations.
17. Limitation of liability
To the extent the law allows, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings. This does not exclude liability that cannot lawfully be excluded, including for intentional harm or gross fault.
[TO CONFIRM: whether a monetary liability cap applies and at what level, and the carve-outs from it. Research proposed a nominal cap given the free pilot; no figure is adopted here. A cap must be set by us, reviewed by UAE-qualified counsel, and may in any case be reassessed by a court against actual loss.]
18. Indemnity
You agree to cover us against claims arising from your customer data or your use of the service in breach of these terms, to the extent the claim results from your acts or omissions. [TO CONFIRM: scope, and whether a matching indemnity from us for intellectual property claims will be offered.]
19. Changes to these terms
We may update these terms as the service develops. The date at the top of this page shows when they last changed. For material changes we will notify the workspace owner by email before they take effect. Continuing to use the service after that means you accept the updated terms.
20. Governing law and disputes
Our intention is that this agreement will be governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates.
[TO CONFIRM: that governing-law wording, and which forum decides disputes, must be settled by UAE-qualified counsel and as a business decision. No forum is chosen here; the sentence above is a statement of intent, not an agreed term.]
21. Contact
Questions about these terms: anas.shareef@outlook.com. Service emails are sent from a no-reply address, which is not a contact channel. [TO CONFIRM: a postal address for formal legal notices, once registration completes.]
